Terms and Conditions

Welcome, and thank you for your interest in becoming an Entreprenista Expert Council member administered by Entreprenista Media, LLC (“Entreprenista,” “Company,” “we,” or “us”) and our website at www.entreprenista.com, along with our related websites and other services provided by us (collectively, the “Service”or “Services”). The following Terms and Conditions (“Terms”) govern your use of and access to the Services. These Terms are legally binding and it is your responsibility to read them before you begin to use the Services. By using and participating in the Services, you accept and agree to be bound and abide by these Terms..

DESCRIPTION OF SERVICES

Entreprenista offers a variety of Services, including, but not limited to becoming an Entreprenista Expert. In order to become an expert contributor on the platform, you must be a member of The Entreprenista League community, submit your intake form and pay for the services. 

Members of The Entreprenista League may be invited to apply for the Entreprenista Expert Council. Once invited, members must submit an application subject to approval by us. Questions on the application form may include but are not limited to: years in business, revenue, clients services, testimonials and requests for references will be asked. Acceptance of applications are in Entreprenista’s sole and exclusive discretion, subject to internal guidelines designed to benefit our community.

If you are approved as an Entreprenista Expert, in each year following such acceptance, you will receive: 

• Opportunity to publish up to 3 or 6 or 12 articles on Entreprenista.com per year
  
  • $1,950 per year for 3 articles
  • $3,000 per year for 6 articles
  • $5,000 per year for 12 articles
• Select promotion of your content with email mentions in Entreprenista’s newsletter
• Designed social media templates to promote select articles
• One contributor page on Entreprenista.com, featuring your logo, bio and headshot
• Select promotion of your articles on Entreprenista’s Instagram and LinkedIn channels 
• One (1) monthly meeting with Entreprenista Experts 
  
  • Personal Brand and PR experts will lead sessions
  • Review best practices for thought leadership
• One (1) monthly networking meeting with both Entreprenista Approved and Expert members
• Opportunities to be featured on member’s podcasts
• Value add: $500 Discount to a 2026 Founders Weekend Ticket
• Value add: One (1) Entreprenista Expert member meetup at Founders Weekend

Your one (1) year will begin from the date your assigned cohort starts. Your membership will automatically renew each year. If you wish to cancel your membership after the first year, you must provide 30 days written notice in advance of your renewal date. All memberships are annual commitments.

Once your application is approved, in Entreprenista’s sole discretion, these Terms and your Membership Agreement will govern the terms and conditions of your Entreprenista Expert status. 

‍Code of Conduct: All members must adhere our code of conduct to maintain your Expert status. Failure to abide by our code of conduct will result in immediate termination of your membership with no refund.

Eligibility Requirements. In order to access the Services, you must (a) be at least eighteen (18) years old; (b) of legal age to form a binding contract; and (c) not a person barred from using Services under the laws of the United States, your place of residence or any other applicable jurisdiction. By using the Services, you agree that you meet all of the eligibility requirements set forth in these Terms and your Membership Agreement. We may still refuse to let certain people access or use the Services, and we may change our eligibility criteria at any time, in our sole discretion. In order to be eligible for Membership, all applicants and Members must also comply with our Website Terms of Service which can be located here: https://entreprenista.com/terms-of-service/

Entreprenista League Membership. If you are not a member of The Entreprenista League and would like to apply to become an Entreprenista Expert, you can first join the community. To apply for a Membership, please visit https://theleague.entreprenista.com/.

REGISTRATION

As a member of The Entreprenista League, when submitting your content to appear on your contributor page, you agree to provide only true, accurate, current and complete information requested by the registration form (the “Registration Data”) and to promptly update the Registration Data thereafter as necessary to keep it current. You agree that you will be responsible for all inbound leads that come to you as a result of being an Entreprenista Expert. 

PRIVACY

Your use of the Services and the information you provide to us there is subject to our Privacy Policy, incorporated herein by reference, which governs our collection and use of data submitted to us through our Services. By using the Services, you agree to our use of cookies in advertising. Please note that from time to time we will share our Members contact information with our partners and sponsors for marketing purposes in order to deliver the best possible services and opportunities to our Members. Members are free to opt out of these marketing messages at any time.

NOTIFICATION SERVICE

You agree we may contact you using any and all information you provided when signing up as an Entreprenista Expert with updates about your account, our regular newsletter, meet-up opportunities, any other opportunities that become available for our Members, and in connection with Your Content (defined below). You agree that Entreprenista has the right to use all information you provide. You may opt out of our emails using the unsubscribe link in its footer anytime.

YOUR CONTENT

You own any and all of the content and information you post or share on or through the Services or otherwise provide to Entreprenista (“Your Content”). For content that is covered by intellectual property rights, like photos and videos (“IP content”), you specifically give us the following permission: you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide, perpetual, irrevocable license to use any IP content that you post on or in connection with our Site or Services for any purpose, in accordance with the settings on your account and the features of the Site and Services you elect to utilize. You agree that you will not post or share any sensitive personal data on the Site unless you agree to its use in accordance with our Privacy Policy. When you post Your Content on our Site, you acknowledge and agree that it will be publicly available and we or other users may replicate ideas and themes found in that content.

You are solely responsible for Your Content and the consequences of posting or publishing Your Content in the Community Platform. By posting or publishing Your Content, you affirm, represent, and warrant that: (i) you are the creator and owner of Your Content, or have the necessary licenses, rights, consents, and permissions to authorize Entreprenista and other Entreprenista users of the Service to use and distribute Your Content as necessary to exercise the licenses granted by you in this section, in the manner contemplated by Entreprenista, the Service, and these Terms; and (ii) Your Content, and the use of your Your Content as contemplated by these Terms, does not and will not: (A) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (B) slander, defame, libel, or invade the right of privacy, publicity or other property rights of any other person; or (C) cause Entreprenista to violate any law or regulation.

Events. If you attend an Entreprenista event, whether virtual or in person, you also grant Entreprenista the right to use any photos or videos taken of you at the event for Entreprenista’s promotional and advertising purposes and otherwise on the Site and Services without compensation to you, and waive any rights of privacy, publicity, or any other similar rights you may have in connection with such photos or videos.

IMPERMISSIBLE USE OF THE SITE AND SERVICE

You agree not to use the Site and/or Services to:

Post unauthorized commercial communications (such as spam) . Collect other users’ content or information using automated means (such as harvesting bots, robots, spiders, or scrapers) without our prior permission.Upload viruses or other malicious code.Solicit login information or access an account belonging to someone else. Post content that: is hate speech, threatening, or pornographic; incites violence; or contains nudity or graphic or gratuitous violence. Do anything unlawful, misleading, malicious, or discriminatory. No unapproved marketing to the community. Do anything that could disable, overburden, or impair the proper working or appearance of the Services, such as a denial of service attack or interference with page rendering or other functionality.Facilitate or encourage any violations of These terms. Post content or take any action on the Site that infringes or violates someone else’s rights or otherwise violates the law.Infringe others’ intellectual property rights.Use our copyrights or trademarks or any confusingly similar marks without our prior written permission.Copy, recreate, or otherwise misappropriate the content posted by other users of the Site.

OUR CONTENT

Other than Your Content (or the Content provided by other users that qualifies as “Your Content” for them – we’ll call it “Others’ Content”), we own any and all of the content, advice, and information on the Site and Services, including all IP Content (“Our Content”).

We grant you, on a personal and individual basis, permission to access and use Our Content as necessary for you to enjoy the Services. You may not use Our Content for any other purpose, on behalf of any third party individual, or on behalf of any entity absent the separate written agreement of Entreprenista. You may not reproduce, distribute, modify, create derivative works of, republish, transmit, sell, resell, or exploit any of the material displayed or provided in connection with the Services, including but not limited to Our Content.

PAYMENT

Payment to become an Entreprenista Expert partner as a member of The Entreprenista League starts at $3,000 per year, with an option to purchase additional amplification at the investment level of $5,000. 

All services require an initial minimum commitment by Customer of at least twelve (12) months from the website publication start date ("Publication Date"). The term of your Agreement with Entreprenista Media LLC (including the Listing Subscription), in relation to the products offered, will last for the term specified in your Stripe Payment Form (the "Term"). Even if we give you the option to divide payments over multiple payment periods, you commit to the purchase of at least one full year of that Entreprenista Expert Council services. You must provide Entreprenista with either a valid credit card (Visa, MasterCard, or any other issuer accepted by us), as a condition to signing up for the Services.  By purchasing a subscription and by providing Entreprenista with your payment information, you are expressly agreeing that we or any payment agents of ours are authorized to charge you a recurring subscription fee on an annual basis as set forth in the Invoice, and any other charges you may incur in connection with your use of the Services, including any applicable taxes or any upgrades to your subscription, to the Payment Provider. 

Following the expiration of the Term, your Entreprenista Expert status will renew automatically on a yearly basis unless Customer provides written notice by email to approved@entreprenista.com of non-renewal no less than thirty (30) business days' prior to the day of the month on which you are billed, regardless of your payment schedule (monthly, quarterly, etc. (the “Billing Date”), with such termination to be effective on that Billing Date. You agree that you will be subject to this automatic renewal feature unless you cancel your Listing Subscription prior to your Billing Date.

If you want to use a different payment method or if there is a change in Payment method, please contact us at approved@entreprenista.com to update your billing information. If the Payment Provider you use with us reaches its expiration date and you do not edit your Payment Provider information or cancel your subscription, you authorize us to continue billing that Payment Provider and you remain responsible for any uncollected amounts. Failure to pay in a timely manner may result in the termination of your subscription and/or application of late payment fees. 

If we do not receive payment from you on or before any payment date, then you will be charged a late fee of 1.5% of the outstanding amount per each day that Company does not receive payment.

Your obligation to pay fees continues unless you cancel your Entreprenista Expert status in accordance with the cancellation policy above.

After the initial 12-month Term, Entreprenista may, at its unilateral discretion, increase rates for any and all services, including for previously discounted or promotional rates or otherwise. Entreprenista will provide written notice in a form and means elected by Entreprenista for any rate increase above ten percent (10%) annually, including notice in the form of billing that includes the increased rates in effect for the previous year. Entreprenista also reserves the right to restrict, suspend, or terminate your access to the Services or subscription at any time without prior notification or liability, with or without cause including (without limitation) due to any failure to pay applicable fees.

Entreprenista continually is reviewing, testing and evolving its product and service offerings to strive to provide its customers and users with the best suite of options available. Entreprenista retains the right to revise, reduce, add to, or change its product and/or service offerings, including the tools made available to you, at any time without notice, in our sole discretion, for any reason, including without limitation to comply with any applicable law or regulation or to change Entreprenista’s suite of products and/or services. Such changes may include, without limitation, the operation of our products and services, including the order and manner in which advertisements appear on them, the way that services are delivered, and the way customers are charged for services. You agree that we may test, implement, remove or modify features of our products and services at any time without notice. Entreprenista makes no guarantees, representations or warranties with respect to the outcome or results of its product and service offerings. You acknowledge and agree that you are responsible for the payment of amounts due under this Agreement, despite any changes or evolution of Entreprenista’s products and services that may occur throughout the Term.

You are to make every attempt to request a refund prior to attempting a chargeback with your financial institution. You will remain responsible for amounts due under these Terms in the event you dispute payment with your financial institution. In the event of a chargeback attempt, you expressly agree to forfeit any and all intellectual property or deliverables afforded to you in exchange for your purchase of the Services.  We reserve the right to present proof of purchase and these Terms to the financial institution investigating the dispute. 

Refund Policy for Services

There is no refund available once you have become an Entreprenista Expert partner. 

Pricing

The pricing below is as of December 3, 2024 and is subject to change. Entreprenista reserves the right to update pricing as needed.The full retail value of becoming an Entreprenista Expert Partner is $15,000/ year or greater. However, Entreprenista League Members are offered this service at a special rate of either $3,000/year or $5,000/ year subject to the terms herein. Approved Members can opt to pay for their Entreprenista Expert Council status in-full via a one-time payment at checkout, or via Klarna with a set number of total payments over the course of a specific time frame. 

From time to time, Entreprenista may elect to offer discounts or special offers to purchase inclusion in the Entreprenista Expert Council. Entreprenista does so at its sole discretion and is not obligated to provide refunds to Members who paid a higher fee at a different time. Entreprenista reserves the right at any time to change its prices and billing methods, and will provide advance notice. 

DISCLAIMER OF WARRANTIES

YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES, OR ATTENDANCE AT ANY MEMBER ORGANIZED EVENT, IS AT YOUR SOLE RISK, AND THE SERVICES, AND ANY ENTREPRENISTA MEMBER ORGANIZED EVENTS, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED UNDER APPLICABLE LAW, ENTREPRENISTA PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT ARISING FROM USE OF THE SERVICES. IF YOU ARE AN INDIVIDUAL CONSUMER LOCATED IN THE UNITED KINGDOM, APPLICABLE CONSUMER LAW MAY NOT ALLOW THE EXCLUSIONS OR LIMITATIONS ON IMPLIED WARRANTIES, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

ENTREPRENISTA PARTIES MAKE NO WARRANTY, REPRESENTATION OR CONDITION THAT: (1) THE SERVICES WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS; (2) THE INFORMATION, CONTENT, AND DATA ON THE SERVICES IS ACCURATE, COMPLETE, OR CURRENT; (3) YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (4) ANY ERRORS ON THE SERVICES WILL BE CORRECTED; (5) YOUR USE OF THE SERVICES WILL NOT EXPOSE YOUR HARDWARE OR NETWORKS TO ADDITIONAL SECURITY RISK; OR (6) THE SERVICES WILL BE COMPATIBLE WITH YOUR DEVICES. ANY CONTENT DOWNLOADED FROM OR OTHERWISE ACCESSED THROUGH THE SERVICES IS ACCESSED AT YOUR OWN RISK, AND YOU SHALL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY OR OTHERS, INCLUDING, BUT NOT LIMITED TO, YOUR COMPUTER SYSTEM AND ANY DEVICE YOU USE TO ACCESS THE SERVICES, OR ANY OTHER LOSS THAT RESULTS FROM ACCESSING SUCH CONTENT. THE SERVICES MAY BE SUBJECT TO DELAYS, CANCELLATIONS AND OTHER DISRUPTIONS. ENTREPRENISTA MAKES NO WARRANTY, REPRESENTATION OR CONDITION WITH RESPECT TO THE SERVICES, INCLUDING BUT NOT LIMITED TO, THE QUALITY, EFFECTIVENESS, REPUTATION AND OTHER CHARACTERISTICS OF THE SERVICES. CERTAIN JURISDICTIONS' LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE FOREGOING DISCLAIMERS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS. IF YOU ARE LOCATED IN THE UNITED KINGDOM, YOU HAVE A RIGHT FOR THE SERVICES TO BE PERFORMED WITH REASONABLE CARE AND SKILL.

No Liability for Conduct of Third Parties

YOU ACKNOWLEDGE AND AGREE THAT ENTREPRENISTA PARTIES ARE NOT LIABLE, AND YOU AGREE NOT TO SEEK TO HOLD ENTREPRENISTA PARTIES LIABLE, FOR THE CONDUCT OF THIRD PARTIES, INCLUDING OPERATORS OF EXTERNAL SITES, AND THAT THE RISK OF INJURY FROM SUCH THIRD PARTIES RESTS ENTIRELY WITH YOU.

LIMITATION OF LIABILITY

IN NO EVENT WILL ENTREPRENISTA, ITS LICENSORS OR CONTENT PROVIDERS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITES AND/OR SERVICES, OR ANY CONTENT, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES OF ANY KIND WHATSOEVER, WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE. USE OF THE SITES, SERVICES AND/OR THEIR CONTENT IS AT YOUR SOLE RISK.

CONFIDENTIALITY

During the course of our performance of Services, you may receive, have access to and create documents, records and information of a confidential and proprietary nature to Entreprenista. This confidential information may include but is not limited to Entreprenista’s work product, course materials, company and member financial information, marketing plans and strategies, market research, client and other mailing lists, business transactions, supplier or vendor relationships, contract terms, present and future projects and products, and pricing and cost information, and other information that is not generally known to the public (“Confidential Information”). You acknowledge and agree that such Confidential Information is an asset of Entreprenista, is not generally known to the trade, is of a confidential nature and, to preserve the goodwill of Entreprenista and must be kept strictly confidential and used only in the performance of your performance under these Terms. You agree that you will not use, disclose, communicate, copy or permit the use or disclosure of any such information to any third party in any manner whatsoever except as otherwise directed by Entreprenista in the course of your performance under these Terms, and thereafter only with the written permission of Entreprenista. You shall notify Entreprenista immediately in the event you become aware of any loss or disclosure of any Confidential Information. Upon termination of your Membership Agreement or upon the request of Entreprenista, you will return to Entreprenista all of the Confidential Information, and all copies or reproductions thereof, which are in your possession or control. You also acknowledge your continuing obligation to raise any confidentiality questions or concerns with Entreprenista in a timely manner.

INDEMNIFICATION

You agree to defend, indemnify and hold harmless Entreprenista and its officers, directors, employees, agents, licensors and content providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) resulting from your violation of these Terms, or your use of Sites, or Services.

TRADEMARKS

The trademarks and service marks displayed on the Sites and Services are the registered and unregistered trademarks, service marks and trade dress of Entreprenista and its licensors. Entreprenista trademarks, service marks and trade dress may not be used in connection with any product or service that is not Entreprenista, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Entreprenista. All other trademarks not owned by Entreprenista that appear on the Site or in any Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Entreprenista.

COPYRIGHT

Except for Your Content, all content included on or made available through any Services, such as text, graphics, logos, button icons, images, audio clips, digital downloads, and data compilations is the property of Entreprenista or its content suppliers and protected by United States and international copyright laws. The compilation of all content included in or made available through any Services is the exclusive property of Entreprenista and protected by U.S. and international copyright laws.

THIRD-PARTY WEBSITES

The Services may contain links to third-party websites. These links are provided for your convenience only. Entreprenista has no control over third-party websites and we are not responsible for the content of such websites or the privacy practices of those third-party websites. If you decide to access a third-party website linked from the Site, you do so entirely at your own risk and your use of those sites is subject to those websites’ terms and conditions and privacy policies.

THIRD-PARTY PRODUCTS AND SERVICES

Any products and/or services offered by third parties you obtain as a Member or visitor (including without limitation through discounted goods/services, giveaways, or as Member perks) are offered and/or sold by their third party creator, performer and/or brand. ENTREPRENISTA SHALL HAVE NO LIABILITY WHATSOEVER IN CONNECTION WITH THESE PRODUCTS OR SERVICES. Please read our disclaimer section carefully, as it also explains how we disclaim liabilities relating to any potential claims over the price, purchase, or receipt of third party goods and/or services.

LEGAL DISPUTES AND ARBITRATION

Please Read This Following Clause Carefully – It May Significantly Affect Your Legal Rights, Including Your Right to File a Lawsuit in Court. 

A. Initial Dispute Resolution. 

We are available by email at membership@entreprenista.com to address any concerns you may have regarding your use of the Service. Most concerns may be quickly resolved in this manner. Each of you and Entreprenista agree to use best efforts to settle any dispute, claim, question, or disagreement directly through consultation and good faith negotiations which shall be a precondition to either party initiating a lawsuit or arbitration. 

B. Agreement to Mediation. 

In the event a dispute shall arise between the Parties that is related to or arises out of these Terms, the Parties agree to attempt to resolve the dispute through mediation. The mediation will take place in Miami, Florida or remotely via Zoom. The Parties agree to cooperate with one another in selecting a mediation service, and shall cooperate with the mediation service and with one another in selecting a neutral mediator and in scheduling the mediation proceedings. For a mediation, the parties will agree to use commercially reasonable efforts to begin the mediation within 15 business days of the selection of the mediator and to conclude the mediation with 30 days of the start of the mediation. The costs of the mediation will be equally split between the Parties. If the Parties fail to agree at the completion of the mediation, the requesting part may commence legal proceedings to resolve the dispute.

Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues; otherwise such cause of action or claim is permanently barred.

These Terms shall be governed by and construed in accordance with the laws of the State of Florida without giving effect to any choice or conflict of law provision or rule.

If the Parties cannot resolve any dispute for any reason, including, but not limited to, the failure of either party to agree to enter into mediation or agree to any settlement proposed by the mediator, either party may file suit in a court of competent jurisdiction in the state or federal courts of Miami-Dade County, Florida and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action, or proceeding.

WAIVER AND SEVERABILITY

No waiver of these Terms by Entreprenista shall be deemed a further or continuing waiver of such Terms or any other term or condition, and any failure of Entreprenista to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

United States Only - Unless otherwise specified, the Services are presented solely for the purpose of promoting products and services available in the United States. Entreprenista makes no representation that the Entreprenista Services are appropriate or available for use in other locations. If you access Entreprenista Services from locations outside the United States, you do so at your own risk and you are responsible for compliance with any applicable local laws.

ACCOUNT ACCESS

You are responsible for your login credentials and for keeping your information accurate. You are responsible for any activity resulting from the use of your login credentials on the Service. You represent and warrant that the information you provide to Entreprenista upon the licensing of the Service and at all other times will be true, accurate, current, and complete.

Your Log-In Credentials

To use the Service, you will have log-in information, including a username and password. You may always browse the public-facing pages of the Service without registering, but to take full advantage of the Service, you will need to create an account. Your account is personal to you, and you may not share your account information with, or allow access to your account by, any third party. As you will be responsible for all activity that occurs under your access credentials, you agree to use reasonable efforts to prevent unauthorized access to or use of the Service and to preserve the confidentiality of your username and password, and any device that you use to access the Service.

You agree to notify us immediately of any breach in secrecy of your log-in information. If you have any reason to believe that your account information has been compromised or that your account has been accessed by a third party, you agree to immediately notify Entreprenista by email at membership@entreprenista.com. You will be solely responsible for the losses incurred by Entreprenista and others due to any unauthorized use of your account.

COMMUNICATIONS

We may communicate with you by email or posting notice on the Service. You may request that we provide notice of security breaches in writing.

You agree to receive email from us at the email address you provided to us for customer service-related purposes. MODIFICATIONS

Entreprenista reserves the right to make changes to these Terms, including the terms that apply to purchases or returns, at any time. If Entreprenista makes a material modification to these Terms, we will attempt to notify you by displaying an announcement within the Services or by sending you an email, and that will be deemed sufficient notification of such changes.

FORCE MAJEURE

If either Party hereto is unable to perform any of its obligations, with the exception of payment, by reason of fire or other casualty, strike, act or order of public authority, global pandemic, administrative order by governmental authority, act of God, or other cause beyond the control of such Party (hereinafter, a “Force Majeure Event”), then such Party shall be excused from such performance during the pendency of such cause. COVID-19 and any related governmental orders or shutdowns are known phenomena and not Force Majeure events. The Party suffering a Force Majeure Event shall give written notice within five (5) days of the Force Majeure Event to the other Party, stating the period of time the occurrence is expected to continue and shall use diligent efforts to end the failure or delay and ensure the effects of such Force Majeure Event are minimized.
